ActiveViam Website Terms of Use

Website terms of use (“Terms”). Users (as defined below) can review the most current version of the Terms at any time at by clicking Your (“You”/ “Your”) use and access to the ActiveViam Group’s website(the “Website”) is governed and managed by the ActiveViam Group (as defined below, “We”/ “Our”/ “Us”). The Website includes the access, upon subscription, to downloadable items such as Our Software and other related online services (collectively, “Service(s)”) subject to these ActiveViam the link on the Website homepage. In addition to these Terms, when using the Services, You are subject to any additional guidelines, rules or terms applicable to such Services, which may be posted and/or added by Us from time to time. We may modify these Terms at any time and add other Services that may be governed by these or different terms of service.

The Terms apply to any natural person over the age of 18 accessing the Website (“User”). The Website and related Services are provided by Quartet Financial Systems, Inc. d/b/a ActiveViam, a Delaware corporation, with its office located at 550 7th Avenue, 19th Floor, New York, New York 10018 (“ActiveViam”) and its Affiliates listed below (together the “ActiveViam Group”).

By browsing or otherwise accessing the Website and Services, Users are agreeing to these Terms and to the separate Privacy Policy (available on the Website homepage), as well as to any additional terms that may govern any Services available on the Website. Where a User is entering into these Terms on behalf of an organization, such as the User’s employer, User represents and warrants to Us, in addition to their personal undertaking, that they have legal authority to bind that entity. If User does not accept these Terms, User should stop accessing and using the Website.

1. Definitions

ActiveViam Community: means those Users who are signed up to access the free to use community edition of Our Software, available from our Website, but are not Customers.

Content(s): means all messages and contributions, both public (including articles and posts), and private messaging, posted by Members on GitHub (or equivalent channels) or raised by Customers as tickets through Jira.

Customer(s): means a customer who has licensed Our Software.

Example Projects: means the notebooks, templates and other examples created by ActiveViam using Software and available on the Website that can be downloaded by Users and used to test the Software.

Member: means a User who  is not a Customer but is part of the ActiveViam Community.
Software: means all software licensed by Us and also all Example Projects.

User: As defined above.

The ActiveViam Group consists of ActiveViam and the following global entities (each a wholly-owned subsidiary within ActiveViam’s group “Affiliate”):

  • ActiveViam Ltd, a company incorporated under the laws of England and Wales with offices located at 6th floor, Shaftesbury House, 151 Shaftesbury Avenue, London WC2H 8AL, UK;
  • ActiveViam SAS, a company incorporated under the laws of France with offices located at 46 rue de l’Arbre Sec 75001 Paris, France;
  • ActiveViam PTY Ltd, a company incorporated under the laws of Australia, whose registered address is Gupta & Co Pty Ltd, Suite 2, L 9, 122 Arthur Street, North Sydney NSW 2060;
  • ActiveViam Germany GmbH, a company incorporated under the laws of Germany whose registered office is located at Junghofstrasse 16, 8th Floor, 60311 Frankfurt;
  • ActiveViam HK Ltd, a company incorporated under the laws of Hong Kong whose registered office is located at 21/F, On Hing Building, 1 On Hing Terrace, Central, Hong Kong; and
  • ActiveViam PTE Ltd, a company incorporated under the laws of Singapore, with office located at 10 Anson Road #14-06 International Plaza Singapore 079903.

2. Description of Services

We provide access and use of Our Website, including all information and possibilities contained therein such as downloading the Software as well providing a repository to report issues. GitHub discussions are the best place for Members to gain insights, collaborate and innovate for people using Our products although Customers also have the option of raising Jira tickets. The ActiveViam Community is designed for anyone interested in the ActiveViam Group’s Software and We welcome anyone with an interest in data blending and advanced analytics.

3. Access, evolution and delivery of the services

Users can access all Services available on the Website. The Website is usually accessible, 24 hours a day, 7 days a week, including Sundays and bank holidays, with the exception of periods of maintenance of the hosting infrastructure of the Website itself or a case of force majeure.

We may at Our discretion and at any time without prior notice and without liability: (i) develop, add, supplement, remove any Service(s) available and/or (ii) modify, interrupt or discontinue the Website at any time.

User is informed that commenting on GitHub is also governed by the GitHub terms of services and that the mobile app may not include all the functionality.

4. Conduct

Users acknowledge that they have the skills and means necessary to access and use the Website.

Exchanges on GitHub (or the equivalent) must be made in a spirit of conviviality and understanding. Members are responsible for all statements made and acts that occur through the use of Member’s account

In order to facilitate reading, the Member agrees to ensure that its “posts” and more generally any Content are correctly written. Similarly, to preserve the GitHub discussions from any controversy or dispute, the Member must show respect for the basic rules of morality and good conduct in the Content they post. Also, Member undertakes not to abuse capital letters (i.e. writing in capital letters means shouting in a discussion and to respect a general expectation of courtesy).

When browsing the Website, the User complies with the legal and regulatory provisions in force and as such the User undertakes not to download, post, transmit, distribute or publish in any other way, through the Website, content that:

  • may be qualified as a criminal offence and more generally breaches any applicable guidance, laws or regulations;
  • is likely to infringe or violate the rights of third parties including intellectual property rights (impersonation, counterfeiting, etc.);
  • risks harm or damage to the image and/or reputation of the ActiveViam Group or anyone else and/or constitute acts of misleading or unfair competition;
  • is vulgar, obscene, hateful, fraudulent, or that discloses confidential, private or personal matters or data;
  • is threatening, potentially defamatory or abusive, whether between Members, Users or directed towards Our staff and this includes language, information, or images;
  • constitutes off-topic comments not related to data blending, advanced analytics or Our products including political or religious statements or commentary and promotion and/or discussion of illegal activity;
  • is material or links to material that Members do not have the right to transmit under law (such as copyrighted material, trade secrets, or securities) or under contractual or fiduciary relationships (such as nondisclosure agreements);
  • constitutes advertising, promotional materials, or other forms of solicitation including chain letters, pyramid schemes, class action suits, or charitable appeals, this includes hypertext links in signatures;
  • may interfere in any way with a fellow Member’s ability to comment on GitHub, including but not limited to mail or “post” bombing, news bombing, other flooding techniques, deliberate attempts to overload a system and broadcast attacks, or attempts to avoid messaging blocking;
  • attempts to evade bans or suspensions or otherwise disregarding directions from Our team.

Our moderators may at any time and without prior notice remove any posted message or thread; delete words that violate these Terms from posted messages; and/or ban a Member for violating the above provisions as provided in sections 10 and 11 below.

5. Intellectual property

All the elements of the Website, its architecture and graphics (including in particular texts, graphics, visuals, software, photographs, images, designs, models, logos and trademarks) any downloadable items as well as the Website itself (apart from the Content posted by Members), are protected by intellectual property law and are Our exclusive property. Your use of the Software is governed by the End User Community Software License. Your use of the community edition of Our Software (including relevant Example Projects) is governed by the Community Edition End User License Agreement, available on the Website.

Any representation, modification, reproduction, or, denaturation, of all or part of the Website or its contents, by any process and on any medium, not expressly authorized herein or under the applicable license terms, is prohibited and is likely to constitute an illegal infringement of Our intellectual property.

In addition, Our trademarks and the trademarks reproduced by Us on the Website, are registered trademarks.

Third party intellectual property rights
The trademarks and logos of partners, as well as the trade names of third parties or any other related references remain the property of Our partners and external companies. You must notify Us without delay of any legal action, threatened legal action, and more generally of any fact, complaint or dispute or any potential complaint or dispute of which You may be informed or made aware and which relates to Content or more generally the Website.

You represent and warrant that You own all rights, in particular intellectual property rights (including copyright, neighboring rights, trademark rights, patent, etc.), on the Content that is posted or that Member has the required authorization to post it.

6. Links to other sites

User acknowledges that the Website may contain links to third-party websites and that, as such, navigation on these sites is subject to compliance with the general terms and conditions of these sites and privacy policies and not with these Terms. Furthermore, the ActiveViam Group is not responsible for the content of the websites to which these links lead the User.

The Member is solely responsible for the hypertext links and Internet addresses that are included in the Content and shall indemnify and hold harmless the ActiveViam Group against any dispute or claim relating to these links.

7. Liability and warranty of ActiveViam

The Website and the Services are provided “AS IS”. ActiveViam makes reasonable effort to ensure that the information displayed on the Website is accurate and up to date, and may modify or remove such content at any time. ActiveViam shall in no event be liable for any loss, prejudice, direct or indirect damage of any nature whatsoever resulting from the management, use, operation, interruption or malfunction of the comments section of GitHub (or the equivalent) or more generally of the Website.

In any event, ActiveViam is not responsible for delays, difficulties of use or incompatibility between the Website and any file, browser, program or tool used by Users.

ActiveViam cannot in any event be held liable for any damage whatsoever resulting from the use of this Website, download and use of any downloadable item, Content exchanged/posted on GitHub (or the equivalent), navigation on this Website or resulting from the dissemination by a third party of a malicious code via the Website in any way, such as a virus.

Each User shall indemnify and hold the ActiveViam Group harmless from any liability, loss, claim, litigation, damage or expense, including legal and defense costs, claimed by a third party or by another User as a result of their Content or more generally resulting from or related to a breach of the Terms.

8. Security

ActiveViam reminds Users that the internet is not a secure network. It is up to each User to take all appropriate measures to protect their own data, device, equipment and/or software, in particular from contamination by any viruses circulating or intrusion by a third party into the system of its terminal for any purpose whatsoever and to check that the files transmitted do not contain any computer viruses. The ActiveViam Group declines all responsibility for the spread of computer viruses, as well as for any consequences that may result from such viruses.

More specifically, ActiveViam shall not be held liable for any damage caused to Users, their device, and the data stored therein, as well as for any consequences that may result from this on their personal or professional activity.

The ActiveViam Group will also not be held liable in the event that one or more Users cannot connect to GitHub due to any problem or technical defect related in particular to network congestion.

9. Privacy policy and cookies

The provisions relating to personal data processed through the Website and to cookies are set out in the ActiveViam Privacy Policy.

10. Termination

If ActiveViam decides to close the Website, Services or to stop responding to comments on GitHub, ActiveViam will inform Members. In such a case, Members will no longer be able to log in and will lose all data posted / stored on the Services and Website.

11. Moderation & non-compliance with the terms or applicable law

ActiveViam may and without prior notice, seek to have any Content removed from GitHub or other sites, that does not comply with regulations or these Terms, and to suspend or terminate the account of any Member based on such Content.

ActiveViam does not have the technical, material and human resources to carry out strict and systematic verifications of the compliance with these Terms.

Although a moderator is in charge of filtering Content to avoid non-compliance with these Terms, the moderator can only act after being notified of such breach. All Users are therefore invited to warn ActiveViam of any apparent breach. Exchanges between Members are thus subject to a posteriori moderation.

Members may use the “report” function when they consider that Content is contrary to the Terms or if they consider that it may offend certain people or themselves. The moderation team will then analyze the Content, which may result in a masking / deletion of the Content or banning of the Member if there is a serious breach of the Terms. Reports must be made wisely. Misuse of our moderator also constitutes a violation of these Terms.

12. Disputes & claims

For any complaint, it is possible to send an email to legal@activeviam.com, indicating the Content or the Services concerned, the reason for the complaint and attaching any supporting documents.

The ActiveViam Group may also hand over certain Content to legal authorities in the event of a potential or suspected violation of the law or a third party’s right.

In addition, the ActiveViam Group may take legal action directly against the offending Member in order to obtain compensation for its own damages.

In any event, the ActiveViam Group shall not be liable or take any part in any disputes between Users and Members. Members shall therefore hold the ActiveViam Group harmless of any claims or disputes that may arise among them.

13. Applicable law and jurisdiction

The Terms and the use of the Website are subject to compliance with English and Welsh law.

In the event of a dispute regarding the Terms, their construction and/or any use of the Website, in the absence of an amicable agreement between the parties, the said dispute shall be submitted to the exclusive jurisdiction of the courts of England and Wales.
